These Terms & Conditions ("Terms") are a binding legal agreement between you and Grailzee LLC, a Florida limited liability company ("Grailzee," "we," "us," or "our"), governing your access to and use of the Grailzee Connect mobile application, the grailzeeconnect.com website, and all related services (collectively, the "Service"). By creating an account, tapping "Agree & continue," or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not access or use the Service.

1.Eligibility & your account

You must be at least 18 years old and able to form a binding contract to use the Service. Grailzee Connect is a private, invitation- and approval-based network for verified professionals; access is granted at our sole discretion and may be declined, limited, suspended, or revoked at any time, for any or no reason, without liability to you.

You agree to provide accurate, current, and complete information during sign-up and verification and to keep it up to date. You are solely responsible for all activity under your account and for keeping your credentials secure, and you must notify us promptly of any unauthorized use.

2.Membership & verification

Grailzee is built on verification. To unlock messaging, communities, and the member directory, you must complete:

• Identity verification — confirming who you are using a government-issued ID and a selfie, processed by our third-party identity provider. See the Privacy Policy for how this data is handled.
• A Grailzee verification — a confidential review by a Grailzee specialist of the net worth and accomplishments you submit, which determines your assigned net worth bracket.

You represent and warrant that all evidence and statements you submit for verification are truthful, accurate, and not misleading. Grailzee may request additional documentation and may assign, adjust, decline, or revoke a bracket in its sole discretion, and may re-verify members at any time. Verification reflects information available at the time of review and is not a financial certification, endorsement, recommendation, or guarantee by Grailzee of any member's net worth, solvency, character, or trustworthiness.

Financial account verification (Plaid). As part of verification, you may choose to connect a bank, brokerage, or other financial account through our third-party provider, Plaid Inc. ("Plaid"), instead of or in addition to submitting documentation. Connecting an account is optional. By choosing to connect an account, you authorize Grailzee and Plaid, and grant them the right, power, and authority, to access and transmit your personal and financial information from the relevant financial institution on your behalf for the purpose of verifying your assets and net worth bracket. You enter your login credentials directly with Plaid, and you agree that Plaid's collection and use of your information is governed by the Plaid End User Privacy Policy. You represent that you are authorized to provide this information and to grant this access for any account you connect, and you may revoke it at any time by disconnecting the account or contacting us, though doing so may affect your ability to obtain or maintain a verified bracket. How Grailzee handles information received through Plaid is described in our Privacy Policy.

3.Payments & billing

Paid membership and any verification fees are purchased and managed through our website, processed by our payment provider (Stripe). The mobile app does not sell memberships; it unlocks access for members in good standing.

• Membership is offered as a recurring subscription at $199/month, or at the founding-member rate of $99/month where applicable.
• A one-time net worth verification fee of $199 may apply, and may be waived for founding members.
• Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.
• Except where prohibited by law, all fees are non-refundable, and no refunds or credits are provided for partial periods, unused access, or accounts suspended or terminated for breach of these Terms.
• Taxes may apply depending on your location.

4.Net worth brackets & reach

Verified members are placed into one of ten net worth brackets. Subject to the rules in the app, a member may initiate contact with members at their own bracket, one bracket above, and any bracket below. Brackets and reach rules may change as the Service evolves. A bracket is a verification outcome only — it is not an offer, recommendation, assurance, or representation by Grailzee regarding any member, and must not be relied upon for any financial, lending, investment, or business decision.

5.Acceptable use & conduct

Grailzee is a professional community. You agree not to:

• Misrepresent your identity, net worth, accomplishments, or affiliations, or submit falsified verification evidence;
• Harass, threaten, defraud, spam, or solicit other members in violation of these Terms or applicable law;
• Use the Service to offer or promote unlawful, deceptive, or high-pressure financial schemes;
• Scrape, copy, or redistribute member data, or use the directory for any purpose other than personal professional networking;
• Attempt to access accounts, data, or systems you are not authorized to access, or interfere with the Service's operation.

We may investigate and take any action we deem appropriate for any actual or suspected violation, including removing content, suspending or terminating accounts, and cooperating with law enforcement, in each case without liability to you.

6.Your content & communications

You retain ownership of the profile information, messages, and materials you provide ("Your Content"). You grant Grailzee a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, and transmit Your Content as needed to operate, secure, and improve the Service. You are solely responsible for Your Content and represent that you have all rights necessary to share it and that it does not violate any law or third-party right. Messaging features are provided through a third-party chat provider.

7.Assumption of risk; member interactions

Grailzee provides a platform to connect verified professionals. Grailzee is not a party to, and has no responsibility or liability for, any interaction, communication, introduction, deal, transaction, investment, loan, or relationship between members. We do not control and are not responsible for the conduct, statements, net worth, solvency, performance, or actions of any member, on or off the Service.

You acknowledge that you interact with other members at your own risk, and that you are solely responsible for your own due diligence and decisions. To the maximum extent permitted by law, you release Grailzee and its affiliates, officers, members, managers, employees, and agents from any and all claims, demands, damages, and losses of every kind arising out of or related to any dispute or dealing with another member or any third party.

8.Suspension & termination

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if verification cannot be completed or is found to be inaccurate, or to protect members, the Service, or Grailzee. You may stop using the Service and request account deletion at any time (see the Privacy Policy). Sections that by their nature should survive termination — including Sections 6 through 13 — survive.

9.Disclaimers of warranties

The Service is provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, Grailzee disclaims all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Grailzee does not warrant that the Service will be uninterrupted, secure, error-free, or that any verification, bracket, connection, opportunity, or outcome will be accurate, achieved, or of any value. Grailzee is not a financial advisor, broker, dealer, fiduciary, or background-check provider, and nothing in the Service is financial, investment, legal, tax, or other professional advice.

10.Limitation of liability

To the maximum extent permitted by applicable law, Grailzee and its affiliates, officers, members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or related to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, and even if advised of the possibility of such damages.

Grailzee's total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the total amounts you paid to Grailzee in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limitations are an essential basis of the bargain between you and Grailzee and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations or exclusions, so some of the above may not apply to you; in such cases, Grailzee's liability is limited to the smallest amount permitted by law.

11.Indemnification

You agree to defend, indemnify, and hold harmless Grailzee and its affiliates, officers, members, managers, employees, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms or violation of any law or third-party right; (d) any verification information you submit; or (e) your interactions, communications, or dealings with any member or third party. Grailzee may, at its option, assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

12.Binding arbitration; class action waiver

Please read this section carefully. It affects your legal rights.

Agreement to arbitrate. You and Grailzee agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved exclusively by final and binding individual arbitration, rather than in court, except as expressly provided below. This agreement is governed by the Federal Arbitration Act.

Arbitration procedure. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will be seated in the State of Florida, and may be conducted by videoconference or, at your election where amounts are modest, by submission of documents. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Jury trial waiver. You and Grailzee waive any right to a trial by jury.

Class action waiver. You and Grailzee agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general proceeding.

Class arbitration waiver. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a class, collective, or representative proceeding. The arbitrator may award relief only on an individual basis and only to the extent necessary to resolve an individual claim.

30-day right to opt out. You may opt out of this arbitration agreement by sending written notice to support@grailzeeconnect.com within 30 days of first accepting these Terms, stating your name, the email or phone number on your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or confidential information.

Severability. If the class action waiver or class arbitration waiver is found unenforceable as to a particular claim, then that specific claim will be severed and proceed in a court of competent jurisdiction (as set out in Section 13), while all other claims will remain in arbitration. If any other portion of this Section 12 is found unenforceable, it will be severed and the remainder will continue to apply.

13.Governing law & venue

These Terms and any Dispute are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and (for the arbitration agreement) the Federal Arbitration Act. To the extent any Dispute is not subject to arbitration, you and Grailzee agree that it will be brought and resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts and waive any objection to venue or forum.

14.Changes; miscellaneous

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, provide notice through the Service. Your continued use after changes take effect means you accept the revised Terms. These Terms are the entire agreement between you and Grailzee regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates any agency, partnership, or joint venture.
